These Terms of Service ("Terms") constitute a binding legal agreement between you ("User," "you," or "your") and GapWatch (gapwatch.io) ("GapWatch," "we," "us," or "our") governing your access to and use of the GapWatch platform, website, and related services (collectively, the "Service").
By registering for an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, including the Consumer Protection Act (RLRQ, c. P-40.1) and the Electronic Commerce Act (RLRQ, c. C-1.1).
You must be at least 14 years of age to use the Service. If you are under the age of majority in your province or territory (18 in most Canadian provinces), you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.
You represent that you have the legal capacity to enter into a binding agreement and that you will use the Service in compliance with all applicable laws and regulations.
GapWatch is a media intelligence platform that tracks and analyzes coverage gaps between social media conversation and mainstream media reporting. The Service provides gap scores, sentiment analysis, timeline charts, and related tools for informational and research purposes.
The Service provides information only. Nothing in the Service constitutes financial, investment, legal, or journalistic advice. You should not rely on any content provided by the Service as the sole basis for any decision. GapWatch does not recommend the purchase or sale of any securities, cryptocurrency, or other financial instruments.
We reserve the right to modify, suspend, or discontinue the Service (or any portion thereof) at any time, with reasonable notice where practicable.

We reserve the right to suspend or terminate accounts that violate these Terms, are inactive for an extended period, or are associated with fraudulent activity.
GapWatch offers free and paid subscription tiers (Premium, Analyst, Pro, Pro Intelligence, and Enterprise). Features and limits vary by tier as described on our Pricing page, which is incorporated by reference into these Terms.
Paid subscriptions are billed in advance on a monthly or annual basis in United States Dollars (USD). All prices are exclusive of any applicable taxes. You authorize us to charge your designated payment method for all fees.
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will receive a reminder email before each annual renewal. For monthly plans, renewal occurs on the same day each month.
We may change subscription prices at any time. For existing subscribers, price changes will take effect at the start of the next billing period. We will provide at least 30 days' advance notice of any price increase by email.
Prices displayed do not include applicable Canadian federal (GST/HST) or provincial (QST) taxes, which may be added at checkout based on your location. You are responsible for all taxes applicable to your purchase.
You may cancel your subscription at any time through the billing portal accessible from your account settings. Upon cancellation, your subscription will remain active until the end of the current billing period, after which you will be downgraded to the free tier. No partial refunds are issued for unused time within a billing period, except as provided in Section 5.2.
If you are not satisfied with the Service, you may request a full refund within 7 days of your initial paid subscription purchase. This satisfaction guarantee applies only to your first payment and is not available for renewals or plan upgrades. To request a refund, contact support@gapwatch.io.
If you are a consumer resident in Québec, you have the right to cancel a contract for services within 10 days of entering into it, without penalty, pursuant to the Consumer Protection Act. After this period, the provisions of Section 5.1 apply.

Violation of this Section may result in immediate suspension or termination of your account without refund.
The Service, including all content, software, algorithms, gap scores, trademarks, logos, and design elements, is the exclusive property of GapWatch and its licensors. Nothing in these Terms transfers any ownership rights to you.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal or internal business purposes only.
By submitting any feedback, suggestions, or ideas to us, you grant us a perpetual, irrevocable, royalty-free licence to use such feedback for any purpose.
The Service may display information derived from third-party sources (social media platforms, news outlets, market data providers). We do not endorse and are not responsible for the accuracy, completeness, or legality of third-party content. Any links to third-party websites are provided for convenience only.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components, or that any information provided will be accurate, complete, or timely.
To the extent that applicable law (including the Quebec Consumer Protection Act) implies warranties that cannot be excluded, our liability for breach of such implied warranty is limited to re-supply of the Service or the cost of re-supply.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GAPWATCH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) CAD $100.
Nothing in these Terms limits liability for fraud, gross negligence, or any matter for which liability cannot be excluded under applicable Quebec or Canadian law.
You agree to indemnify and hold harmless GapWatch and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any third-party rights.
These Terms are governed by and construed in accordance with the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising from these Terms or the Service shall be resolved by the competent courts of the Province of Québec, judicial district of Montréal, and you hereby consent to the exclusive jurisdiction of such courts.
If you are a consumer in Québec, you retain the right to bring claims before the Commission des droits de la personne et des droits de la jeunesse or any other applicable consumer protection authority.
We may update these Terms from time to time. We will notify you of material changes by email and by posting the updated Terms on our website. The updated Terms will indicate the effective date.
If we make changes that materially affect your rights, we will provide at least 30 days' notice before they take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date.
